Terms of sale
The rules that apply to every project, in plain words.
Last updated:
1. Scope
These terms apply to the services of Ismail Bentounsi, entrepreneur, Morocco: websites, AI assistants (on WhatsApp and as a chat on the client’s website), hosting, maintenance and graphic design, for riads, guesthouses, hotels and other properties.
Signing a quote means accepting these terms.
2. Quotes
Every project has a written quote, sent within 48 hours of our conversation. It states the exact scope, the price and the delivery date.
A quote is valid for 30 days from the day it is sent.
Prices shown on the site are starting prices. The price that applies is the one in the signed quote.
3. Prices
Prices are in Moroccan dirhams (MAD).
Package prices include the first year of domain name, hosting, professional email addresses and AI usage.
4. Deposit and payment
- 50% deposit when the quote is signed. Work starts once it is received.
- 50% balance at launch.
- Payment by bank transfer. An invoice is provided for every payment.
- Once work has started, the deposit is not refunded, even if the client drops the project.
- If a payment is late (deposit, balance or yearly plan), work and hosting are paused until it is paid.
5. Content supplied by the client
The client supplies the texts, photos, prices, logos and information needed for the site and the assistant (rooms, rates, transfers, times…).
The client guarantees having the right to use this content and that it is accurate. Information given to the property’s guests, in particular prices and availability, remains the client’s responsibility.
6. Delivery times
- The delivery date is written in the quote.
- The clock starts once the deposit and all content have been received.
- Only delays attributable to Ismail Bentounsi give a discount: 5% of the project price per week of delay, up to 20%.
- A delay caused by the client (missing content, late approval, late payment) moves the date by the same amount.
- If the scope changes during the project, a new date is agreed together. Extra cost is charged only if the change adds work.
7. Test version and revisions
Before launch, the client receives a test version.
Two rounds of changes are included, within the scope of the quote. Further rounds are quoted.
Requests that add work, new pages or new features are quoted separately.
8. Launch and ownership
- Once the project is fully paid, the following belong to the client and are in the client’s name: the domain name, the website code, the website content, the WhatsApp Business number and the Meta account.
- The account with the AI service that runs the assistant stays in Ismail Bentounsi’s name. Its usage is part of the yearly plan.
- Ismail Bentounsi keeps his generic tools and components, which he reuses from one project to another. The client receives a permanent, non-exclusive licence to use them in their site.
9. Yearly plan
From the second year, the domain name, hosting, email addresses, AI usage and maintenance are paid by the client every year through the yearly plan: 1 300 MAD (Présence), 3 600 MAD (Réservations Directes) or 4 900 MAD (Riad Premium).
The yearly plan also covers updates, small text, photo and price changes, keeping the assistant’s knowledge up to date, and site monitoring. New features are quoted separately.
10. Assistant conversations
- For packages with the assistant (Réservations Directes and Riad Premium), the included AI usage covers 3 600 guest conversations a year, WhatsApp and website together.
- One conversation means all messages with one guest over 24 hours, on WhatsApp or in the website chat.
- Beyond that: 100 MAD per block of 100 extra conversations.
- The client is alerted once 80% of the yearly allowance is used.
11. Renewing and ending the yearly plan
- The yearly plan renews every year.
- To stop it, the client tells Ismail Bentounsi at least 30 days before the renewal date.
- If it is not renewed, hosting, the AI assistant and support stop. The client receives their site files and their domain name.
12. Changes after launch
Any change to the site or the assistant is requested only from Ismail Bentounsi, on WhatsApp (message on WhatsApp). The client does not edit the site directly.
13. Third-party services
WhatsApp and Meta, Booking.com, Airbnb, booking software, Zoho Mail (professional email), the AI service and Cloudflare are third-party services under their own terms. Their changes or outages are outside Ismail Bentounsi’s control.
14. Liability
- To the extent permitted by law, Ismail Bentounsi’s liability is limited to the amount the client paid for the project concerned.
- Ismail Bentounsi is not liable for indirect losses, such as lost bookings or lost revenue.
15. Confidentiality
Each party keeps confidential the other party’s non-public information received during the project (documents, logins, codes, figures, data about the property’s guests) and uses it only for the project. This obligation continues after the project ends.
16. Force majeure
Neither party is liable for a delay or failure caused by force majeure: an external, unforeseeable and unavoidable event, such as a natural disaster, an epidemic or a decision by the authorities. The party affected informs the other as soon as possible, and deadlines are suspended while the event lasts.
17. Governing law and disputes
These terms are governed by Moroccan law.
In case of disagreement, the parties first look for an amicable solution. Failing that, the dispute goes before the competent courts of Morocco.
18. Language
These terms exist in French, Arabic and English. If the versions differ, the French version prevails.
